Please read these Terms of Service carefully before using the Zutra platform. These terms constitute a legally binding agreement between you and Zutra, Inc.
1. Acceptance of Terms
By accessing or using Zutra's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use our services.
These terms apply to all users of the service, including users who are also contributors of content, information, and other materials.
2. Description of Service
Zutra provides a software-as-a-service platform that offers infrastructure primitives for SaaS products, including authentication, billing integration, database access, and deployment tooling.
We reserve the right to modify, suspend, or discontinue any part of the service at any time. We will provide reasonable notice of material changes.
3. Account Terms
You are responsible for maintaining the security of your account. You must immediately notify us of any unauthorized use of your account. Zutra cannot and will not be liable for any loss or damage arising from your failure to secure your account.
You may not use the service for any illegal or unauthorized purpose. You must not transmit any worms, viruses, or any code of a destructive nature.
4. Payment Terms
Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable unless otherwise stated. You authorize us to charge your payment method on a recurring basis.
If payment fails, we will notify you and provide a grace period of 7 days. After that, your account may be downgraded or suspended. Enterprise billing terms are governed by your specific contract.
5. Intellectual Property
The service and its original content, features, and functionality are owned by Zutra and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You retain ownership of content you create using our service. By using our service, you grant Zutra a non-exclusive license to use your content solely to provide and improve the service.
6. Limitation of Liability
To the maximum extent permitted by law, Zutra shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill.
In no event shall Zutra's total liability exceed the amount you paid to Zutra in the 12 months preceding the claim. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above limitations may not apply.
7. Termination
You may terminate your account at any time from your account settings. We may terminate or suspend your access at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
Upon termination, your right to use the service will immediately cease. We will retain your data for 30 days after termination to allow for data export.
8. Governing Law
These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Delaware.
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
